Durum Industrial REIT : Redemption Terms

REDEMPTION PRICE

Redemption price is equal to the FMV of the Units less any applicable deferred sales charges.

DECLINING REDEMPTION FEE SCHEDULE

Trust Units of Series C that are redeemed before the following anniversaries of their issuance date will be entitled to receive the respective percentage of their FMV:

1st year: 92.0%

2nd year: 94.0%

3rd year: 96.0%

4th year: 98.0%

5th year: 100.0%

REDEMPTION NOTE TERMS

Redemption notes will be subordinated and unsecured and have an interest rate as determined at the time of issuance by an independent financial adviser. Redemption notes shall have a maturity of less than 5 years.

Redemption Notes will not be eligible under Exempt Plans.
